Véronique Dutoit works in the field of mergers and acquisitions, joint ventures and private equity.
Véronique assists companies in their internal and external growth operations (structuring of LBOs, acquisitions, disposals, business combinations, negotiation of strategic agreements and partnerships, shareholders’ agreements, etc. ), in their structuring (reorganization of groups of companies, mergers, spin-offs, partial contributions of assets, capital transactions, etc.) and in all the issues they may encounter in corporate matters throughout their development (organization of governance, profit-sharing for managers, contractual issues, etc.).
As a strong negotiator, she is involved in mergers and acquisitions where her know-how and listening skills facilitate the conclusion of mergers and joint-ventures.
Véronique advises clients, including listed and unlisted groups and investment funds, on complex French and cross-border transactions.
She also advises numerous company directors in their business creations and acquisitions, as well as in the management of their group and their asset optimization.
She is particularly active in the cosmetics, energy and innovative technology sectors.
Prior to founding Spring Legal: Véronique Dutoit began her career in the legal and tax department of the Banking and Finance Department of the Caisse des Dépôts et Consignations as a lawyer (1993-1994) and developed her expertise in private equity, mergers and acquisitions and financing at BH & Associés (1995-2004) which she left in 2004 to found Tolomei Avocats. She joined KGA Avocats in 2016, then founded Spring Legal in 2017.
